A UAE trade licence is not a one-off piece of paper. It is an annual obligation, and missing it is one of the fastest ways to turn a healthy business into a stuck one. Bank accounts get frozen, visas cannot be renewed, customers cannot be invoiced, and every day past the expiry date costs money.

The real cost of a late trade licence renewal
Penalty structures differ by jurisdiction, but the framework is consistent. Expect fines on the licence itself plus cascading fines on everything attached to it.

Mainland (DET Dubai) renewal pack
- Current trade licence
- Valid Ejari — this is the #1 blocker. If the Ejari expires before you renew the licence, the licence renewal stalls.
- Tenancy contract in the company's name
- MOA and any amendments
- Emirates ID and passport copies of all shareholders
- NOC from landlord in some cases
- Shareholder approval / resolution if signatory has changed
- DED / DET approval for the activity (external approvals for regulated activities)
Free zone vs. mainland — different rules
The renewal mechanics are not the same across jurisdictions.
Mainland (DET Dubai):
- Ejari must be valid throughout the licence period. An expired Ejari makes renewal impossible until a new lease is registered.
- External approvals required for regulated activities (MOH for clinics, KHDA for schools, RERA for real estate, etc.).
- No automatic grace. Late fees start day 1 of expiry.
Free zones:
- Most free zones include the flexi-desk or office in the licence fee — renewal is usually bundled.
- UBO and economic substance declarations are tied to the renewal cycle.
- Some zones require audited financials at renewal (DMCC, DIFC, ADGM, IFZA Pro tier). If your books are not closed, the renewal is blocked until they are.
How to fix an expired licence
Still possible, but the path depends on how long it has been expired:
- Under 30 days: Pay the monthly late fee, submit the renewal, done. No lasting damage.
- 30–180 days: Pay accumulated fees, submit renewal, reinstate the establishment card, and confirm the bank account is not on hold. Visas attached to the company will need to be re-stamped if any have expired.
- Over 180 days: Approach the free zone or DET in writing, request reinstatement, and pay all back-fees plus reinstatement fees. Some zones require a fresh application; your company identifier may need re-issuance.
- After cancellation: Set up a new entity. The cancelled entity cannot simply be reactivated once it is struck off.

30 / 60 / 90 day pre-renewal checklist
90 days before expiry:
- Confirm your exact renewal date on the licence copy.
- Close out financials for the year if audit is required.
- Check partners' Emirates IDs and passport validity — renew anything expiring in the next 6 months.
60 days before expiry:
- Confirm Ejari / office lease is valid for the next 12+ months. If not, renew the lease now.
- Update UBO declaration if shareholders have changed.
- Book external approvals (regulated activities) — they take 2–6 weeks.
30 days before expiry:

- Confirm updated licence is received before expiry date.
